ALL CONDITIONS SHALL BE NECESSARY TO ESTABLISH ENTERPRISE IN VIETNAM

To meet the needs of establishing business in international economic integration as today, I want to share with readers about all conditions necessary to establish the enterprise:

Firstly, about conditions of entity establishing business: According to regulations, organizations and individuals have the right to establish and manage enterprises in Vietnam as prescribed, unless otherwise specified in Clause 2, Article 18 of the Law on Enterprises 2014.

Secondly, about the choice of business sector: The owner may operate in the industries and sectors that are not prohibited by law. For these business sector subjecting to conditions, enterprises must meet the conditions stipulated by the Law on Enterprises and relevant laws.

Thirdly, the conditions of enterprise’s charter capital and legal capital: Charter capital can be understood as capital contributed or pledged by members or shareholders to contribute capital and recorded in the company's charter. And the legal capital is the minimum capital required for the establishment of the company due to legal regulations for each business sector. Members must contribute capital to the company as right amount and type of assets as they within 90 days from the date of issuance of business registration certificate.

Fourthly, the conditions of business name: When employers conduct business name, they must ensure that it includes two factors: the type of business (sole prietorship, Limited liability company, Joint stock company or partnership) and the name of enterprise. At the same time, the business name must not violate the prohibitions specified in Article 39 of the Law on Enterprises 2014. Also, business owners also need to be aware of the business name in foreign language and abbreviation of the enterprise in Article 40 Law on Enterprise in 2014.


Finally, the conditions of enterprise’s seal: According to Article 44 of Law on Enterprise 2014, the enterprise has the right to decide on the form, amount and content of the corporate seal, and the State only support role in the recording and posting on on the National Business Registration Portal., which helps enterprises solve relevant disputes.
